Terms and Conditions of Sale

This Terms and Conditions of Sale pertain to the sale of tangible personal property, referred to as 'goods,' The goods, their quantity, price, and other terms are outlined in accompanying invoices, sales orders or purchase orders, constituting the complete agreement between the parties.

1. Definitions

a. "Seller" refers to Cedar Direct, LLC.

b. "Buyer" refers to the individual, company or entity purchasing our products from the Seller.

c. The sale of goods described on Seller’s invoice (“Goods”) is made on the express condition that Buyer assents to the promises, terms, and conditions set forth below

2. Orders and Invoices

a. All orders placed by the Buyer are subject to acceptance by the Seller.

b. Prices, quantity, and product specifications are outlined in the invoice provided to the Buyer.

c. Payment terms are specified on the invoice. Payment is due in full upon receipt of the invoice unless otherwise agreed upon in writing.

d. For orders placed: The Buyer must arrange for order pickup to occur within 7-10 business days from date of order. Purchased items that are not picked up after 1 month from date of order are considered a cancelled order and a refund will be issued, via mailed check, less a 30% restocking fee. 

e. Special orders are non-refundable.

3. Shipping and Delivery

a. Delivery dates provided by the Seller are approximate and may be subject to change due to unforeseen circumstances.

b. The risk of loss or damage to the products shall pass to the Buyer upon delivery.

c. Shipping and handling charges are the responsibility of the Buyer, unless otherwise agreed upon in writing.

4. Inspection of Delivery

a. Upon receipt of the Goods, the Buyer must inspect the products for any visible damage, defects, or discrepancies.

b. Any issues with the delivered products must be reported to the Seller within 48 hours from the date of delivery.

c. Failure to report any issues within the specified time frame will be deemed as an acceptance of the products in their delivered condition.

5. Returns and Refunds

ALL SALES ARE FINAL, No Refunds, Returns, or Exchanges of Product. 

6. Warranty

a. Cedar wood products are sold "as is" and without any warranties, unless expressly stated otherwise in writing by the Seller.

7. Limitation of Liability

a. In no event shall the Seller be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or in connection with the sale of cedar wood products.

8. Governing Law and Jurisdiction

a. These terms and conditions shall be governed by and construed in accordance with the laws of the state of Wisconsin.

b. Any disputes arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Iowa County, WI and the Western District of Wisconsin.

9. Entire Agreement

a. These terms and conditions constitute the entire agreement between the Buyer and the Seller and supersede all prior negotiations, understandings, and agreements between the parties.
